Terms of Service

Please read these terms carefully before using our services

1. Agreement to Terms

By accessing or using ConversiaIQ's website at conversiaiq.com or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and clients of ConversiaIQ ("Company," "we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Description of Services

ConversiaIQ provides an AI-powered lead capture and SMS automation platform designed to help businesses capture, respond to, and qualify inbound leads — including after-hours missed calls. Our services include:

  • Automated SMS responses triggered by missed calls
  • AI-powered conversation bots for lead qualification
  • Lead capture forms and CRM integrations
  • Reporting and analytics dashboards
  • Onboarding, setup, and ongoing support

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our services. By using ConversiaIQ, you represent and warrant that you meet these requirements. Our services are intended for business use only and are not directed to consumers for personal use.

4. Account Registration & Responsibilities

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Acceptable Use

You agree to use ConversiaIQ's services only for lawful business purposes. You may not use our platform to:

  • Send unsolicited messages or spam in violation of the CAN-SPAM Act or TCPA
  • Harass, threaten, or deceive any individual
  • Transmit false, misleading, or fraudulent information
  • Violate any applicable federal, state, or local laws or regulations
  • Infringe on the intellectual property rights of others
  • Attempt to reverse engineer, hack, or disrupt our platform or infrastructure
  • Resell or sublicense our services without prior written consent

6. SMS Messaging & TCPA Compliance

By using ConversiaIQ's SMS services, you agree to comply with all applicable laws governing text message communications, including the Telephone Consumer Protection Act (TCPA) and applicable carrier guidelines. As a client, you are responsible for:

  • Ensuring proper consent has been obtained from all contacts receiving SMS messages through our platform
  • Honoring all opt-out requests promptly (STOP replies must be processed within 10 business days)
  • Maintaining records of consent for all contacts in your database
  • Ensuring your use of our platform complies with A2P 10DLC registration requirements

ConversiaIQ provides the technology platform and is not responsible for non-compliant use by clients. You assume full liability for your messaging practices.

7. Fees & Payment

ConversiaIQ's services are offered on a monthly subscription basis. By subscribing, you agree to:

  • Pay all fees associated with your selected plan in advance on a monthly basis
  • Provide valid payment information and authorize recurring charges
  • Accept that fees are non-refundable except as expressly stated in our refund policy
  • Understand that failure to pay may result in suspension or termination of your account

We reserve the right to change our pricing with 30 days' written notice. Continued use of the service after a price change constitutes your acceptance of the new pricing.

8. Cancellation & Refunds

You may cancel your subscription at any time by contacting us at [email protected]. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for partial months of service. Setup fees and onboarding costs are non-refundable once work has commenced.

9. Intellectual Property

All content, technology, branding, and materials associated with ConversiaIQ — including but not limited to our platform, software, logos, and documentation — are the exclusive property of ConversiaIQ and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our materials without prior written consent.

You retain ownership of any data, content, or materials you submit through our platform. By submitting content, you grant ConversiaIQ a limited license to use that content solely to provide and improve our services.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in connection with the use of ConversiaIQ's services. This includes, but is not limited to, business data, customer lists, pricing information, and technical configurations. This obligation survives termination of your account.

11. Disclaimer of Warranties

ConversiaIQ's services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make no guarantees regarding specific results, lead volumes, or revenue outcomes from use of our platform.

12. Limitation of Liability

To the maximum extent permitted by law, ConversiaIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising out of or related to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to ConversiaIQ in the three months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless ConversiaIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.

14. Third-Party Services

Our platform integrates with third-party services such as GoHighLevel, Twilio, and payment processors. Your use of these integrations is subject to their respective terms of service and privacy policies. ConversiaIQ is not responsible for the availability, accuracy, or practices of any third-party services.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Harris County, Texas, under the rules of the American Arbitration Association.

16. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page and notify active clients via email. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.
